THE TRUSTEES OF THE SHAWNEE MUNICIPAL AUTHORITY OF THE CITY OF SHAWNEE, COUNTY OF POTTAWATOMIE, STATE OF OKLAHOMA, MET IN REGULAR SESSION IN THE COMMISSION CHAMBERS AT CITY HALL, 9TH AND BROADWAY, SHAWNEE, OKLAHOMA, MONDAY, DECEMBER 17, 2001 IMMEDIATELY FOLLOWING THE BOARD OF CITY COMMISSIONERS MEETING, PURSUANT TO NOTICE DULY POSTED AS PRESCRIBED BY LAW. UPON ROLL CALL, A QUORUM WAS DECLARED PRESENT WITH THE FOLLOWING MEMBERS IN ATTENDANCE: PRESENT: Claybrook, Pettyjohn, Harrod, Harden, Weaver, Milburn, Downing ABSENT : None AGENDA ITEM NO. 1: Call to Order. Chairman Harden presided and called the meeting to order. AGENDA ITEM NO. 2: Declaration of a Quorum. Chairman Harden declared a quorum present. AGENDA ITEM NO. 3: Consider approval of Consent Agenda. * Minutes of December 3, 2001 meeting A motion was made by Trustee Harrod, seconded by Trustee Pettyjohn, that the Consent Agenda be approved. Motion carried. AYE: Harrod, Pettyjohn, Harden, Weaver, Milburn, Downing, Claybrook NAY: None AGENDA ITEM NO. 4: Consider the adoption of a resolution authorizing the Shawnee Municipal Authority (the “Authority”) to issue its Sales Tax Revenue Note, Series 2001 (the “Note”) in the principal amount of $5,350,000; waiving competitive bidding and authorizing SHAWNEE MUNICIPAL AUTHORITY DECEMBER 17, 2001 PAGE 2 the Note to be sold on a negotiated basis; approving and authorizing execution of a sales tax agreement by and between the City of Shawnee, Oklahoma and the Authority pertaining to a year-to-year pledge of certain sales tax revenue; approving and authorizing execution of a Note Indenture; authorizing the issuance and securing the payment of the Note; and containing other provisions relating thereto. For informational purposes, the proposed resolution authorizes the execution of the agreements relating to the issuance of the Note payable to the Bank of America, which was approved at the December 3, 2001 City Commission meeting for the purpose of financing a portion of certain capital improvements to the City including, but not limited to (i) the water treatment facility, (ii) multi-purpose building, (iii) a regional park and sports complex, and (iv) a downtown streetscape and paying certain costs associated with issuance of the Note. SMA Resolution No. 2001-01 was introduced and the title read aloud. SMA Resolution No. 2001-01 entitled “A resolution authorizing the Shawnee Municipal Authority (the “Authority”) to issue its Sales Tax Revenue Note, Series 2001 (the “Note”) in the principal amount of $5,350,000; waiving competitive bidding and authorizing the Note to be sold on a negotiated basis; approving and authorizing execution of a sales tax agreement by and between the City of Shawnee, Oklahoma, and the Authority pertaining to a year-to-year pledge of certain sales tax revenue; SHAWNEE MUNICIPAL AUTHORITY DECEMBER 17, 2001 PAGE 3 approving and authorizing execution of a Note Indenture authorizing the issuance and securing the payment of the Note; authorizing and directing the execution of the Note and related documents; establishing the Authority’s reasonable expectation with respect to the issuance of tax-exempt obligations by the Authority in calendar year 2001, and designating the note as a qualified tax-exempt obligation; and containing other provisions relating thereto.” A motion was made by Trustee Harrod, seconded by Trustee Weaver, that the Title and Resolution be approved. Motion carried. AYE: Harrod, Weaver, Milburn, Downing, Claybrook, Pettyjohn, Harden NAY: None Thereupon Chairman Harden declared SMA Resolution No. 2001-01 duly passed and adopted. AGENDA ITEM NO. 5: Consider a resolution authorizing a new maintenance agreement and an agreement as to the use of surplus funds with the Pottawatomie County Development Authority. For informational purposes, the agreements authorize the Trustee Bank to transfer the remaining funds from the construction of the Reservoir to the Shawnee Municipal Authority, which will be used to fund the costs of the water treatment plant expansion and to establish a reserve for the operation and maintenance of the Wes Watkins Reservoir. SMA Resolution No. 2001-02 entitled “A resolution authorizing an agreement as to use of surplus funds with the Pottawatomie County Development Authority; authorizing a new maintenance agreement; authorizing the Chairman or Vice Chairman to execute the document; and containing other provisions relating thereto.” A motion was made by Trustee Weaver, seconded by Vice Chairman Downing, that the Title and Resolution be approved. Motion carried. AYE: Weaver, Downing, Claybrook, Pettyjohn, Harrod, Harden, Milburn NAY: None Thereupon Chairman Harden declared SMS Resolution No. 2001-02 duly passed and adopted. AGENDA ITEM NO. 6: Administrative Reports. There were no Administrative Reports. AGENDA ITEM NO. 7: New Business. There was no New Business to be considered. There being no further business to come before the meeting, a motion was made by Trustee Weaver, seconded by Vice Chairman Downing, that the meeting be adjourned. Motion carried.
